These Terms and Conditions (“Terms”) govern the use of services provided by Noxatech (“we,” “our,” or “us”). By engaging with our services, you (“Client” or “You”) agree to these Terms. Please read them carefully before proceeding with any engagement.
1. Services Covered
Noxatech provides Agentic AI, AI/ML solutions, workflow automation, web development, consulting, and related technology services. In the future, we may also offer mobile app development, software products, SaaS subscriptions, and other digital services, which will also be governed by these Terms.
2. Payment Terms
- All projects require a 40% advance payment before commencement.
- Remaining payments will follow a milestone-based structure, with invoices issued upon completion of each milestone.
- Payments must be made via the methods stated on the invoice.
- Refund Policy: Clients are eligible for a 100% refund minus the cost of completed milestones in case of project cancellation.
3. Ownership of Work
- Upon full payment, the Client shall receive 100% ownership of all deliverables, including but not limited to code, AI models, workflows, and web applications.
- Noxatech does not retain any rights to the Client’s deliverables, intellectual property, or proprietary systems created under the project scope.
4. Confidentiality & Data Protection
- Noxatech acknowledges that Clients may provide confidential data, business information, or trade secrets during the project.
- All such data will be kept strictly confidential and used only for the purpose of delivering agreed services.
- Clients retain full ownership of their data at all times.
5. AI & Automation Disclaimer
- AI/ML solutions, automation workflows, and intelligent agents are best-effort systems, and results may vary depending on data quality, third-party dependencies, and other factors.
- Noxatech shall not be held liable for business losses, inaccuracies, or operational disruptions arising from the use of AI systems or automation tools delivered under our services.
6. Support & Maintenance
- Noxatech will provide 14–30 days of free support and maintenance for the deliverables we have developed.
- After this period, additional support, modifications, or maintenance will be available on a paid basis under a separate agreement.
7. Termination
Either party may terminate the engagement under the following conditions:
- Late or non-payment of invoices.
- Change of scope that is not mutually agreed upon.
- Breach of confidentiality or misuse of deliverables.
- Any other material breach of these Terms.
Upon termination, the Client will be invoiced for all completed milestones and work-in-progress up to the termination date.
8. Limitation of Liability
- Noxatech shall not be responsible for indirect, incidental, or consequential damages resulting from the use of our services or deliverables.
- Liability, if any, shall be limited to the total amount paid by the Client for the specific project.
9. Governing Law
These Terms and Conditions are governed by and construed under international law. Any disputes shall be resolved under mutually agreed arbitration or international jurisdiction.
10. Acceptance of Terms
By engaging with Noxatech’s services, the Client confirms they have read, understood, and agreed to these Terms and Conditions.
